Terms of Use
These Terms of Use govern your use of Nubiss Fusion (the "Platform"), operated by Nubiss GmbH, Schreinerstr. 57, 10247 Berlin, Germany, registered at the Amtsgericht Charlottenburg under HRB 268902 B, represented by its managing director Fabian Cuntze ("Nubiss", "we", "us"). Contact: info@nubiss.com.
1. Who these terms apply to
- These terms apply to every person who holds a login to the Platform, whatever the reason. That includes members of a customer company (founders, administrators, employees), and people a company invites in from outside, such as investors, external auditors, research and other partners given access to a partner room, and contractors.
- The company that subscribes to the Platform (the "Customer") does so under a separate subscription agreement with Nubiss. If that agreement and these terms conflict, the subscription agreement prevails between Nubiss and the Customer. These terms govern your personal use of your login.
- The Platform is a business tool. It is not offered to consumers for private purposes.
2. Your account
- You must give accurate information, keep your password confidential and not share your login with anyone. Every login belongs to one named person.
- Tell us or the company that invited you without delay if you think someone else has used your account.
- You are responsible for what is done under your login unless you could not have prevented it.
- Access you were given by a company (for example to its data room, an audit engagement or a partner room) is controlled by that company. It can limit, extend or end your access at any time, and access ends automatically when its period runs out.
3. Information shared with you
- Much of what you see on the Platform belongs to the company that shared it — financial figures, cap tables, policies, audit evidence, documents. It is confidential. You may use it only for the purpose it was shared for, and you must not pass it on, publish it or use it to compete with that company.
- Where a company asked you to accept a non-disclosure undertaking before opening its material, that undertaking applies in addition to these terms.
- Documents shared with external readers may carry a visible watermark naming you, and every view and download is logged and visible to the sharing company. Do not remove watermarks or try to get around access controls.
4. Acceptable use
You must not:
- access, or try to access, data, companies or functions you were not given access to;
- probe, scan or test the Platform's security without our written permission;
- upload malware, or content that is unlawful or infringes someone else's rights;
- overload the Platform, scrape it, or use automated means other than the official API with a token issued to you;
- use the Platform in breach of applicable law, including data-protection, export-control and sanctions law.
We may suspend a login that is used in breach of this section, where reasonably possible after telling you first.
5. Content you put on the Platform
- Content that you or your company upload stays yours or your company's. You grant Nubiss the rights needed to host, process, back up and display it in order to provide the Platform.
- Where your company's content contains personal data, Nubiss processes it on your company's behalf under the data-processing terms agreed with that company (Art. 28 GDPR).
6. AI-assisted features
Some functions use AI models to draft or suggest text (for example policy, document or evidence drafts). AI output can be incomplete or wrong. Treat it as a draft: review it before you rely on it, approve it or send it to anyone. A company can switch these features off. What is sent to an AI provider is described in the Privacy Policy.
7. Availability and changes to the Platform
We aim to keep the Platform available and secure, but we do not guarantee uninterrupted availability. We may change, add or remove functions as long as the core purpose of the Platform for the Customer is maintained; service levels, where agreed, are in the subscription agreement.
8. Intellectual property
The Platform, its software, design and documentation are owned by Nubiss or its licensors. You receive a non-exclusive, non-transferable right to use the Platform for the duration of your access and only as described in these terms.
9. Liability
- Nubiss is liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act, and where we have given a guarantee.
- For slight negligence, Nubiss is liable only for breach of an essential obligation (an obligation whose fulfilment makes the proper use of the Platform possible in the first place and on which you may regularly rely), and then only for damage that was typical and foreseeable when access was given.
- Otherwise, liability is excluded. The limitations also apply to our employees and agents.
- Nothing on the Platform is financial, legal, tax or investment advice. Figures shown to investors are provided by the company concerned, not by Nubiss.
10. Ending your access
- You can ask the company that invited you, or us, to close your login at any time.
- Your access ends when the company that gave it ends it, when its period expires, or when the Customer's subscription ends.
- What happens to your personal data afterwards is described in the Privacy Policy.
11. Changes to these terms
We may change these terms for valid reasons, such as changes in law or to the Platform. We publish each version here with its date. If a change materially affects you, you will be asked to accept the new version the next time you sign in; until you do, you cannot keep using the Platform. Earlier versions stay available on this page.
12. Final provisions
- German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
- If you are a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is Berlin.
- If a provision of these terms is invalid, the rest remain in force.
